Winding up and dissolution of companies in India a study

Abstract

The study attempted to introduce briefly the historical perspective of the origin of company, the Origin of Companies Act in India to administer and control the company form of organisation, the problem of industrialization that lead to dissolution and liquidation of companies, introduction of concept of winding up and liquidation in India, the shortcomings of the existing system, the reformative process followed by the government. It also endeavour to study the legal provisions on winding up, liquidation and dissolution of companies, the decided case laws under various provisions, analysis of case laws decided by Hon ble Supreme Court of India and various high courts dealing with intricate issues arising during the process of winding up, Liquidation and dissolution of companies. The thesis deals with the case studies taken up during the process of research. These case studies relates to the companies in respect of which the orders of winding up was passed by the High Court and official liquidator was appointed to take over and liquidate the assets of the companies. The data has been collected from the official liquidators for the states of Chandigarh, Delhi, Haryana, Jammu and Kashmir, Mumbai and Punjab. newline
